Terms of Service

1. Agreement to Terms

By accessing or using Markdup ("the Service") at markdup.app, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users including creatives (account holders) and clients (people who access review links without an account).

2. Description of Service

Markdup is a web-based client feedback tool that allows users to upload files and share review links for annotated feedback. The Service supports images, PDFs, and video files.

3. Accounts and Registration

To use the Service as a creative, you must create an account using a valid email address or Google account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@markdup.app if you suspect unauthorised access to your account.

You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to use the Service to upload, share, or distribute:

• Child sexual abuse material (CSAM) or any content that sexually exploits minors
• Explicit sexual or pornographic content
• Content that promotes violence, harassment, or illegal activity
• Material that infringes the intellectual property rights of others
• Malware, viruses, or any malicious code
• Content that violates any applicable law or regulation

Violation of these terms will result in immediate account termination and, where required by law, reporting to the relevant authorities including the National Center for Missing and Exploited Children (NCMEC).

5. Content and Intellectual Property

You retain all ownership rights to the files you upload to Markdup. By uploading content, you grant Markdup a limited, non-exclusive licence to store, process, and display that content solely for the purpose of providing the Service.

You are solely responsible for ensuring you have the rights to upload and share any content you submit to the Service.

6. Content Moderation and Reporting

Markdup uses automated tools to scan uploaded images for prohibited content. We also provide a reporting mechanism on all public review links for users to flag inappropriate material.

To report prohibited content, use the "Report this content" button on any review link or email abuse@markdup.app. We will investigate all reports and take appropriate action.

If we discover or receive a credible report of CSAM, we will immediately remove the content, suspend the associated account, and report the material to NCMEC as required by federal law.

7. Subscriptions and Billing

Markdup offers two paid subscription plans: Pro ($19/month) and Agency ($49/month). Both plans include a 14-day free trial. A valid payment method is required to start a trial.

Your card will not be charged until the trial period ends. You may cancel at any time before the trial ends and will not be charged. Cancellations take effect at the end of the current billing period — you retain access until then.

All fees are non-refundable except where required by law. We reserve the right to change our pricing with 30 days advance notice.

8. Data Retention

Files you upload are stored securely for the duration of your subscription. If you cancel your account, your files will be retained for 30 days and then permanently deleted. You may download your files at any time during this window.

9. Termination

We may suspend or terminate your account at any time if you violate these Terms. You may cancel your account at any time from your billing settings.

Upon termination, your access to the Service will end and your data will be deleted in accordance with our data retention policy.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation. We are not responsible for any loss of data or content.

11. Limitation of Liability

To the maximum extent permitted by law, Markdup's total liability to you for any claims arising from your use of the Service will not exceed the amount you paid us in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of California, United States. Any disputes will be resolved in the courts of Los Angeles County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
